条款接受与服务范围Terms Acceptance & Service Scope

欢迎使用 GP Fulfillment Store Cloner（以下简称“应用”或“服务”）。本服务条款（“本条款”）构成您（“商户”或“用户”）与应用开发运营主体 PGS Tech Limited (Gray Poplar) 之间具备法律约束力的协议。通过安装、下载、访问或使用本 Chrome 浏览器扩展及相关后台服务，即表示您已阅读、理解并同意受本条款的全盘约束。Welcome to GP Fulfillment Store Cloner ("the Service", "the App"). These Terms of Service ("Terms") represent a legally binding contract between you ("Merchant", "User") and PGS Tech Limited (Gray Poplar). By installing, downloading, accessing, or utilizing our Chrome extension and back-end integration services, you acknowledge that you have read, understood, and agree to be fully bound by these Terms.

软件授权许可与商户资质Software Licensing & Merchant Qualifications

我们授予商户一项可撤销的、非排他性的、不可转让的、有限的软件使用许可，仅用于商户正当的独立站商品同步与电商运营目的。商户在注册或使用本软件时保证：We grant merchants a revocable, non-exclusive, non-transferable, limited license to utilize the App solely for legitimate e-commerce catalog migration and store operations. Merchants represent and warrant:

• 您具有在所在国家或地区签订具备法律约束力合同的完全民事行为能力。You possess full legal capacity to enter binding contracts under applicable regional laws.
• 您系独立站店铺（包含 Shopify 商店）的合法所有人、运营人或经合法授权的代理人。You are the lawful owner, operator, or authorized agent of the target e-commerce store (including Shopify stores).

知识产权合规与中立技术工具声明Intellectual Property & Neutral Technology Standard

GP Fulfillment Store Cloner 恪守中立技术服务提供者定位：GP Fulfillment Store Cloner operates strictly as a neutral efficiency technology provider:

• 商户版权保证与 DPA 1.1.13 遵循：Merchant Copyright Warranties: 商户在使用本应用从第三方平台（如 AliExpress, Amazon, 1688, Temu, SHEIN 等）提取商品数据时，必须保证自身已获得原版权人的合法使用与再销售许可，或属于合法合理的商业借鉴范畴。 Merchants warrant they hold necessary licenses or legal rights when synchronizing product data from third-party platforms (e.g. AliExpress, Amazon, 1688, Temu, SHEIN).
• 内置商标防护与 AI 去重责任：Built-in IP Shield & AI Sanitization: 应用提供了 USPTO/EUIPO 商标词自动比对、AI 描述重构与图片指纹去重功能。商户有责任在将商品推至 Active 状态前主动开启上述合规模块，防范侵权风险。 The App provides built-in trademark scanning, AI copywriting, and image deduplication. Merchants agree to activate these compliance features to review listings prior to going Live.
• 独立工具中立声明：Third-Party Disclaimer: 应用为独立的效率工具，与 Shopify Inc.、Amazon.com, Inc.、AliExpress、Temu 或 SHEIN 无官方所属或背书关系。 The App is an independent software tool and is not officially affiliated with or endorsed by Shopify Inc., Amazon.com, Inc., AliExpress, Temu, or SHEIN.

合理使用政策 (AUP) 与禁止行为Acceptable Use Policy (AUP) & Prohibitions

商户在使用本服务过程中，严禁从事以下违规或恶意行为：Merchants are strictly prohibited from engaging in the following unlawful or malicious activities:

• 利用自动化脚本对同一个商店进行爆破式高频注入（如 1 小时内导入上万款商品），破坏平台 API 稳定性。Executing abusive high-frequency product spamming that degrades API stability.
• 蓄意绕过应用的商标扫描模块，利用本软件大规模传播已知大牌的伪劣假冒商品。Intentionally bypassing compliance scanners to distribute trademark-infringing counterfeit goods.
• 对本扩展的代码进行逆向工程、反编译、破解或许可授权绕过。Reverse engineering, decompiling, or circumventing license checks of the extension source code.

服务额度、免费策略与授权规则Service Quotas, Free Tier & Licensing Rules

应用采用透明、平民化的计费与授权体系：The App implements a transparent and accessible pricing architecture:

服务可用性承诺与 SLA 免责Service Availability & SLA Disclaimers

我们致力于维持应用及后台服务 99.9% 的正常运行时间。然而，由于本应用依赖于第三方平台（如 Shopify、Chrome Web Store、目标货源站）的 API 接口与页面结构，下述情形导致的服务中断属于合理免责范畴：We endeavor to maintain 99.9% application uptime. However, because operation relies on external platform APIs and web structures (Shopify, Chrome Web Store, source websites), the following events are explicitly disclaimed:

• Shopify 官方 API 接口维护、下线或变更引发的临时同步延迟。Temporary sync delays resulting from official Shopify API maintenance or deprecations.
• 目标源货源网站前端 HTML 结构重大改版导致解析规则需更新。Third-party website layout overhauls requiring temporary parser rule updates.

责任限制与免责补偿条款Limitation of Liability & Indemnification

在法律允许的最大范围内，PGS Tech Limited (Gray Poplar) 不对任何因使用或无法使用本应用而引发的间接损失、利润损失、广告费损失、数据丢失或商店暂停承担赔偿责任。对于任何索赔，我们的最大累计赔偿责任不超过商户在过去 12 个月内向我们支付的总费用。To the maximum extent permitted by applicable law, PGS Tech Limited (Gray Poplar) shall not be liable for any indirect, incidental, punitive, or consequential damages, loss of profits, ad spend losses, or store suspensions arising from App usage. Our aggregate cumulative liability shall not exceed the total fees paid by you to us in the preceding 12 months.

授权撤销与违规服务终止License Termination & Account Suspension

若商户严重违反本条款的合理使用政策（如大规模利用应用分发假冒伪劣侵权商品、尝试破解应用源码），我们保留在不事先通知的情况下随时挂起、撤销其软件授权许可及停止客服支持的权利。If a merchant materially breaches our Acceptable Use Policy (e.g. distributing counterfeit goods or attempting code cracking), we reserve the right to immediately revoke software licenses and terminate support without prior notice.

适用的法律与仲裁Governing Law & Dispute Resolution

本条款的订立、执行、解释及争议解决均适用中华人民共和国香港特别行政区法律。因本条款引起的任何争议，双方应首先通过友好协商解决；协商不成的，应提交香港国际仲裁中心（HKIAC）按照其届时有效的仲裁规则进行最终裁决。These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be settled through friendly negotiation, failing which it shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for final arbitration.
